First. Purpose of the call for the Entrepreneurs Award and the Latin American Innovation and Entrepreneurship Award
The following guidelines are intended to establish the rules for participation in the IX edition of the Entrepreneurs Award convened by everis foundation.
Entrepreneurs Award, convened by everis foundation, will award the candidate, to be elected by the jury, and which will be discussed in the Fifth Section of these Rules, whose proposal has as its main objective the exploitation of technological, management, social or environmental innovation.
everis foundation, by supporting the activity of entrepreneurs and the promotion of the technological innovation that takes place through the Entrepreneurs Award, has been appointed as exclusive National Promotional Partner for the Organization of Latin American Awards for Innovation and Entrepreneurship in Spain.
The Latin American Awards for Innovation and Entrepreneurship is structured in two phases;
1st National: everis foundation will select from the Entrepreneurs Award candidates those who meet the requirements on this Terms and Conditions. All of them will be listed in the site “Latin American Award 2010", located on everis foundation website (www.fundacioneveris.com). Some of those Entrepreneurs Award finalists will compete and will support Latin American Award.
2nd Latin American: Four prizes will be given to those candidates who are selected by an international jury, which previously have participated in the national award convened by the Promoter Partner appointed by the Secretaría General Iberoamericana.
The Entrepreneurship Prize convened by the everis foundation, is subject to the conditions specified below, which include the eligibility criteria to participate, the selection criteria to nominate the finalists and winners, the content of proposals and other conditions of the awards.
Second. Proposal
The proposals, in electronic format, must be presented at the registered office of the everis foundation (Avda Manoteras 52, 28050 Madrid), before 20.00 hours on June 1st, 2010.

The proposal to be submitted by the entrepreneur must contain a business plan, developed with sufficient detail and scope to justify its viability and allow subsequent follow-up. The proposal can be presented in Spanish and English.
The proposal should be composed of at least the following contents:
1. Description of the results of the investigation on which the idea is based, the product, the innovation, or the methodology as referred to in Point 1, justification and on the same conditions for commercial exploitation. It is appropriate to include the technical characteristics of innovation, technical feasibility, and the potential industrial and commercial applications.
2. Curricula of the entrepreneur or entrepreneurs, outlining the technical and professional competence of those proposing the idea. Any additional information that clearly shows ability to be an entrepreneur and to manage a company is particularly valued.
3. Marketing and Marketing Plan, identifying and describing the potential market and customer goals, identifying potential competitors in the event of entry barriers and other issues that indicate a sufficient knowledge of commercial aspects of the idea by the entrepreneur.
4. Financial projections, made up of profit and loss accounts, balance sheet and cash flow forecasting, identifying and explaining the main assumptions adopted for its development, as well as details of the required investment and wages and/or salaries to be provided for the entrepreneurs.
5. Candidate affidavit stating the following:
a. To accept and comply with the rules.
b. To assure that the information provided is reliable.
c. To guarantee that they are the intellectual authors of the ideas and that they have not made use of inside or recorded information without permits.
d. To accept from the candidates any claim of intellectual property or use of private information.
e. The commitment to provide additional information that it may be required.
f. The commitment to report on changes to the constitution of the team before the date of announcement of winners.
Additionally, any experience of entrepreneurs in start-ups and / or in different areas of business management as well as any access they may have to business incubators, science and technology parks, etc., that can facilitate the processes of development and commercialization of research results will be highly valued.
everis foundation may request an interview with the finalists to get to know the entrepreneur or group of entrepreneurs, or may require authorization to visit their workplace to clarify any aspects of the proposal in order to obtain the maximum possible knowledge of the proposed new company and its business plan.
Third. Payment of Awards. Partnership Framework Agreement
everis foundation will contribute to the development and launch of the new company through a prize of € 60,000, known as the entrepreneurs prize. This money will be released in phased payouts according to the funding needs identified in the company´s Business Plan, until the total amount has been given. This type of financial contribution is consistent with any such grant or contribution from third persons or entities.
Likewise, everis foundation may award a second prize to projects which have been finalists; An amount of € 40,000 will be dedicated to this purpose.
Along with the award the winner and everis foundation will sign a framework partnership agreement, which will set the terms and conditions subject to the collaboration of both in the winning project. In this agreement shall be explicitly reflected, and accepted by the parties, that the everis foundation will be the funder of this project oriented to have presence in society, formed or to be formed, materializing their investment through the financial model. This purpose is determined in the framework partnership agreement, and taking the form of a participating member, shareholder and / or board member of the society.
everis foundation will monitor the winner project and its business plan through the participation of an appointed person who will attend meetings of the Managing Committee (with voice but without vote), as well as follow-up meetings that will be set up by the society.
Fourth. Conditions and criteria for eligibility
Any entrepreneur, group of entrepreneur or any company may participate in the Entrepreneurs Awards.
everis Group employees or their relatives within the second degree of consanguinity or affinity are banned to participate in this event.
Fifth. Jury
The Jury will be appointed by full agreement of the Committee (Comisión Delegada del Patronato) of the everis foundation and be made up of people from both the academic and business worlds. Its chairman will be the chairman of the everis foundation. The Jury reserves the right not to award the prize to any of the projects submitted. The Secretary will be someone from the everis foundation. The decision of the Jury will be final and will be announced in the last quarter of 2010.
Sixth. Others
Logo and brand usage
In any of the activities organized by the winners or by the new company, once constituted, and in its brochures, websites or any other promotional media, everis foundation sponsorship will appear in place appropriately highlighted. It must, likewise, reflect these sponsorship any appearances in the press. In both cases, whatever is the chosen form of publication, the winners must be committed to observing and enforcing the regulations governing the use of trademarks and logos, which it will be provided by everis foundation. everis foundation reserves the right to revoke the authorization to use its trademark and logo.
Confidentiality
everis foundation is committed to maintain all confidentiality about not–awarded projects.
Acceptance of the Rules
Participation in this event implies the acceptance of all above rules governing the competition, without exception or restraints as well as of any resolution adopted due to occurrences.
